Corporate Paralegal

Gesmer Updegrove LLP is seeking a full-time corporate paralegal with a minimum of five years of experience in general corporate matters.  

Create formation documents for all types of corporate entities, mostly focused on Delaware and Massachusetts entities; 

Familiarity with requirements for qualifying entities in US jurisdictions and familiarity with federal and state securities law filing requirements;        

Drafting board and shareholder consents and Section 228 notices for distribution by client;

Entering company information into corporate databases Athennian and Shareworks;

Maintaining cap table information for all common and preferred stock issuances, notes, warrants and option pool grants;

Knowledge of cap table software:  Carta, Shareworks, and/or captable.io;

Track client annual report and annual meeting dates and provide notifications;

Prepare stock certificates as appropriate and keep stock records up to date;

Prepare SEC private offering Form D items, apply for EDGAR access codes and electronic filing of same;

Prepare UCCs and file them appropriately;

Knowledge of PACER for bankruptcy searches; familiarity with public records databases for land records searches (Sean Gilligan)

Work with little to no supervision and work with many different individuals with different demands and styles of communication.

Knowledge of pdf programs and how to create electronic minutebooks and prepare closing binders.
